1. SUBJECT AND SCOPE 1.1. By initiating pre-contractual and/or contractual relations, the Client declares that he is familiar with and accepts these terms and conditions. 1.2. The terms apply to all services of the Contractor. 1.3. These Terms are binding on the Contractor and the Client. 1.4. In case of conflict with special conditions, the latter take precedence. 1.5. A confirmed offer has the force of a contract when it contains clearly defined parameters and express agreement. 1.6. d . media has the right to refuse service or fulfillment of a request, offer or service at its own discretion, providing the reasons for the refusal to the Customer. 1.7. d . media has the right to refuse the performance of services containing materials or content that are contrary to the law, good morals, public order or professional ethics. 1.8. The documents (offers, invoices, contracts, annexes, preliminary calculations and other documents) are part of the contractual relationship between the parties. 1.9. These Terms apply regardless of whether the services are provided through a contract, offer, e-mail, contact form, social network or other communication channel. 1.10. Set out in these Terms: Price list of services, Service Agreement, Annex, preliminary calculation, Invoice for services rendered, Privacy Policy are attached as appendices (samples) at the end of the document. An exception is the Price List of the services, which contains the current prices of the services. 1.11. d . media engages in branding, content creation, social media management, graphic design, advertising, web design, web development, SEO, GEO and AI SEO optimization and related activities. 1.12. All services are provided in accordance with current Bulgarian and European legislation. 2. DEFINITIONS 2.1. In applying and interpreting these Terms and Conditions, the terms and expressions used shall have the following meaning: "d . media" - trade name of the Contractor; "Client" - any natural or legal person entered into a contractual relationship; "Materials" - all graphic, text, audio, video, software, marketing and other materials created, processed, provided or used; "Services" - all services provided; "Service Agreement" - a signed contract or an expressly confirmed offer; "Price list" - an up-to-date list of services and prices; "Project" - any assigned work or set of activities; "Work files" - the files used to create and edit the project; "Final files" - the files intended for use by the Customer; "White-label implementation" - provision of a project without designating d . media as an executor; "License to use" - right to use a created project according to the agreed terms; "Third Party Services" - services provided by external providers; "AI tools" - software systems using artificial intelligence technologies to support the work process. 3. AWARD AND CONCLUSION OF CONTRACTS 3.1. The award is made by contract or confirmed offer. 3.2. Offers are sent in writing or by e-mail. 3.3. Confirmation creates contractual binding. 3.4. Communication may be done electronically. 3.5. An electronic statement is considered valid unless proven otherwise. 3.6. All parameters are agreed in writing. 3.7. Correspondence by e-mail is considered a contract only if it contains clear consent and parameters. 3.8. The customer is responsible for the accuracy and legality of the information provided. 3.9. d . media has the right to request additional information when it is necessary to perform the services. 3.10. Making a payment under an offer may be considered acceptance of the offer and assignment of the service. 4. AGREEMENT FOR SERVICES, ANNEXES AND APPLICATIONS 4.1. The contract takes precedence. 4.2. It can be paper or digital. 4.3. Validity – signature or express confirmation. 4.4. Annexes are created upon changes. 4.5. If an annex is not possible, a new contract is drawn up. 4.6. The attachments are part of the contract. 4.7. All terms of reference, quotations, specifications and attachments are considered an integral part of the contract. 4.8. In case of conflict between the applications and the contract, the contract prevails. 5. GENERAL DEFINITIONS OF SERVICES 5.1. Template services 5.1.1. Template Services are services whose content and appearance are pre-designed by d . media. 5.1.2. The customer may make limited changes to the content, texts, images, colors or other elements according to the predetermined possibilities. 5.1.3. The scope of permissible changes is determined by d . media or agreed in advance between the parties. 5.1.4. Template services are provided for faster turnaround and lower final cost. 5.2. Custom services 5.2.1. Bespoke services are services developed individually according to the needs of the Client. 5.2.2. The content, structure, vision, functionality and other parameters are determined based on a task provided by the Client. 5.2.3. Bespoke services may include research, concept, development, testing, implementation and support. 5.2.4. Unless otherwise agreed, all bespoke services are deemed to be uniquely developed for the particular project. 5.3. White-label execution 5.3.1. White-label the performance represents the provision of a project without designating d . media as its executor. 5.3.2. White-label performance is provided only after an express agreement between the parties. 5.3.3. In the absence of such an agreement, d . media has the right to indicate his authorship of the project. 5.3.4. White-label performance does not constitute an automatic transfer of copyright. 5.4. Licenses to Use 5.4.1. Unless otherwise agreed, all projects are provided with a non-exclusive license to use. 5.4.2. An exclusive license is granted only by express agreement between the parties. 5.4.3. Full transfer of property copyrights is made only through a separate written agreement. 5.4.4. Licenses apply only to the end result, unless otherwise agreed. 5.4.5. The working files are not part of the license unless specifically included. 5.5. Working files 5.5.1. Work files are all files used in creating and editing the project. 5.5.2. Work files may include source files, layers, libraries, resources, design systems, source code, and other materials. 5.5.3. Work files remain the property of d . media unless otherwise agreed. 5.5.4. Provision of work files may be subject to an additional fee. 5.6. Final files 5.6.1. Final files are the files intended for use by the Client. 5.6.2. Final file formats are defined in advance between the parties. 5.6.3. In the absence of an agreement, d . media provides the files in a format considered standard for the relevant service. 5.6.4. After delivery of the final files, the Client is responsible for their storage. 5.7. Third Party Services 5.7.1. To perform certain services, d . media may use third-party services. 5.7.2. Such services may include hosting, domains, cloud services, advertising platforms, payment systems, analytics systems, AI services and others. 5.7.3. The costs of such services are not included in the project price, unless otherwise agreed. 5.7.4. d . media is not responsible for any interruption, limitation or change in third party services. 5.8. AI tools 5.8.1. d . media has the right to use AI tools when performing the assigned services. 5.8.2. AI tools can be used for analysis, research, generating ideas, text, images, code, automation or other activities. 5.8.3. The use of AI tools does not change the contractual relationship between the parties. 5.8.4. The final result is reviewed and approved by d . media before it is provided to the Client. 5.9. Deadlines for implementation 5.9.1. The terms are defined in the Service Agreement, offer or other written agreement. 5.9.2. The terms begin to run after the provision of the necessary materials and information by the Client. 5.9.3. A delay on the part of the Client leads to a corresponding extension of the deadlines. 5.9.4. d . media has the right to change the performance schedule if objectively necessary. 5.10. Transfer of projects 5.10.1. Projects are considered submitted once they are sent via e-mail, cloud service, file sharing system or other agreed channel. 5.10.2. In the absence of objection from the Client within 3 working days, the project is considered accepted. 5.10.3. After acceptance of the design, any subsequent changes may be subject to an additional fee. 5.10.4. d . media has the right to archive or delete the project files after a reasonable period of time after the completion of the project. 6. service categories 6.1. Services for the design of graphic projects for printing 6.1.1. Print graphic design services are the creation, editing or adaptation of graphic materials intended for physical printing. 6.1.2. Services can be performed both according to a template and to order. 6.1.3. The final files are provided in a format suitable for printing and according to the technical requirements of the relevant printing process. 6.2. Design services of graphic projects for presence in social networks 6.2.1. The Services are the creation, editing or adaptation of graphic materials for use in social networks and digital platforms. 6.2.2. Services can be performed both according to a template and to order. 6.2.3. The projects comply with the technical requirements of the respective platform at the time of construction. 6.3. Visual identity services 6.3.1. Services are the creation or development of the visual representation of an individual, organization, company, product, service or brand. 6.3.2. Services may include creating a logo, logotype, visual identity, design system, brand book and other identification elements. 6.3.3. Unless otherwise agreed, all concepts not selected by the Client remain the property of d . media. 6.4. Content creation services 6.4.1. The Services are the creation, editing, adaptation or optimization of content for print, digital or other communication channels. 6.4.2. Content can be text, graphics, audio, video or a combination. 6.4.3. Unless otherwise agreed, d . media is not responsible for the factual accuracy of information provided by the Client. 6.5. Social network management services 6.5.1. The services are planning, publishing, management and optimization of the Customer's presence in social networks. 6.5.2. Services may include content creation, publishing, analysis, consulting and audience communication. 6.5.3. d . media is not responsible for actions of the platforms, including restrictions, sanctions, blocking of accounts or changes in algorithms. 6.6. Advertising services 6.6.1. The Services are the creation, management, optimization or analysis of advertising materials and advertising campaigns. 6.6.2. Advertising budgets are not included in the price of services, unless otherwise agreed. 6.6.3. d . media does not guarantee specific results from advertising campaigns. 6.7. Video editing and video animation services 6.7.1. The Services constitute the creation, editing, processing or animation of video content. 6.7.2. Services may include editing, color corrections, sound processing, animation of graphic elements, intros, outros and other activities. 6.7.3. Duration, complexity and resources used can affect the final cost and lead time. 6.8. Web design services 6.8.1. Services are creation of the visual concept, structure, navigation and user experience of a website, online store or digital platform. 6.8.2. Web design does not include automatic programming, development or maintenance, unless otherwise agreed. 6.8.3. The approved design is considered the basis of subsequent development. 6.9. Web development services 6.9.1. Services are the creation, implementation, configuration, migration, maintenance or development of websites, online stores and digital platforms. 6.9.2. Unless otherwise agreed, the costs of domains, hosting, external services, paid integrations and licenses are not included in the price. 6.9.3. d . media is not responsible for future changes in third-party systems and services. 6.10. SEO optimization services 6.10.1. The Services are activities to improve the visibility of websites in Internet search engines. 6.10.2. Services may include technical analysis, content optimization, structure, metadata and other activities. 6.10.3. d . media does not guarantee specific positions in search engines. 6.11. GEO optimization services 6.11.1. The Services are content and structure optimization activities for use by generative search engines and artificial intelligence systems. 6.11.2. GEO optimization may include structured data, semantic links, machine-readable content, and other specialized activities. 6.11.3. d . media does not guarantee inclusion in answers of specific AI systems. 6.12. AI SEO optimization services 6.12.1. The Services are optimization of content, data and structures for use by language models and AI platforms. 6.12.2. Services may include citation analysis, entity optimization, schema implementation and other specialized activities. 6.12.3. d . media does not guarantee specific visibility in AI systems. 6.13. Technical support services 6.13.1. The Services are monitoring, updating, correcting, maintaining and developing existing projects. 6.13.2. Support can be one-time or subscription. 6.13.3. The scope of support is determined individually for each project. 6.14. Consulting services 6.14.1. Consulting services are the provision of analyses, recommendations, expert opinions and professional advice. 6.14.2. The Advisory Services do not constitute legal, accounting, financial or tax advice unless expressly stated otherwise. 6.14.3. The client is responsible for the decisions they make based on the advice provided. 7. extended service definitions 7.1. Services for the design of graphic projects for printing 7.1.1. One-sided business card A one-sided business card is a graphic design for personal or business use, containing information on only one side of the medium. 7.1.2. Double sided business card A double-sided business card is a graphic design for personal or business use, containing information on both sides of the carrier. 7.1.3. One-sided voucher (Gift Card) It is a graphic design for a gift voucher, coupon, gift card or discount card with a design on one side only. 7.1.4. Double-sided voucher (Gift Card) It is a graphic design for a gift voucher, coupon, gift card or discount card with a design on both sides. 7.1.5. Flyer It is a single sheet of advertising or informational material intended for distribution in printed form. 7.1.6. Brochure It is informational or advertising material that can be single-sided, double-sided, folded or multi-sided. 7.1.7. Menu Represents a graphic project for a restaurant, establishment, hotel, event or other activity requiring presentation of products, services or prices. 7.1.8. An invitation It represents a graphic project for an event, celebration, conference, seminar or other event. 7.1.9. Certificate Represents a graphic design for a certificate, diploma, certificate or other official document. 7.1.10. Poster Represents a graphic project for advertising, information or public purposes, intended for printing in a format chosen by the Client. 7.1.11. Print banner It is a graphic design for large format printing intended for indoor or outdoor use. 7.1.12. Catalogue It is a multi-page printed material for presenting products, services, activities or a portfolio. 7.1.13. A folder It represents a graphic project for a company or advertising folder. 7.1.14. Other printed materials All other print projects fall into this category, including labels, packaging, stickers, billboards, calendars, notebooks and other similar materials. 7.2. Design services of graphic projects for presence in social networks 7.2.1. Facebook page cover It is a graphic project that complies with Facebook's technical requirements for business pages. 7.2.2. Facebook group cover It is a graphic project that complies with Facebook's technical requirements for groups. 7.2.3. Facebook event cover It is a graphic project for events organized through Facebook. 7.2.4. Publication in 1:1 aspect It is a graphic project in a square format, suitable for social media posts. 7.2.5. Publication in aspect 4:5 It is a vertical graphic project optimized for mobile devices and social networks. 7.2.6. Publication in aspect 16:9 It is a horizontal graphic project for publications, presentations and digital channels. 7.2.7. Story in aspect 9:16 It is a graphic project for Facebook Stories, Instagram Stories, TikTok Stories and other vertical formats. 7.2.8. Reel Cover It is a cover for video content on Instagram Reels, Facebook Reels, TikTok or similar platforms. 7.2.9. Thumbnail for YouTube It is a graphic project for the visual presentation of video content on YouTube. 7.2.10. YouTube Banner It is a graphic project for a YouTube channel cover. 7.2.11. LinkedIn Banner Represents a graphic project for a personal or company profile on LinkedIn. 7.2.12. X (Twitter) Banner Represents a profile graphic project on the X platform. 7.2.13. TikTok Cover Represents a graphic project for presence and visual identity on TikTok. 7.2.14. Social networking pack It is a combination of several graphic projects for different social platforms at a bundle price. 7.2.15. Other digital materials This category includes all graphic materials intended for use on the Internet, mobile applications or digital platforms. 7.3. Visual identity services 7.3.1. Logo design It is the creation of an identification mark constructed entirely or mainly through a typographical solution using a name, designation, initials or other textual content. 7.3.2. Logo design It is the creation of a graphic symbol, sign, emblem, pictogram or other visual element used to identify an individual, organization, product, service or brand. 7.3.3. Logo design and logotype It is a combined system, including a graphic sign and typographic writing, which can be used both together and separately. 7.3.4. Redesign of an existing logo or logotype It represents a renewal, modernization or adaptation of an already existing visual identity. 7.3.5. Vectorization of a raster logo and/or logotype It represents the conversion of a raster graphic file to a vector format for scalability, higher quality and professional use. 7.3.6. Restoring a logo or logotype Represents the recreation of an existing visual identity in the absence of the original files or in the need of a technical correction. 7.3.7. Visual identity It is a system of visual elements used to recognize and represent an individual, organization, company, product or service. 7.3.8. Visual identity may include: logo; logotype; color system; typographical system; graphic elements; icons; visual templates; terms of use; other identification elements. 7.3.9. Brand identity It is a complete system for brand positioning and presentation, including visual, communication and strategic elements. 7.3.10. Brand identity can include: visual identity; positioning; communication style; tone of communication; content structure; core messages; marketing guidelines; other elements related to brand development. 7.3.11. Brandbook It is a document describing the rules for using the visual and brand identity. 7.3.12. The brandbook may include: basic versions of the logo; color system; typography; terms of use; safety zones; prohibited uses; application examples; communication guidelines; other identity handling rules. 7.3.13. Design system It is a set of standards, components, rules and visual elements used to create and maintain a consistent digital environment. 7.3.14. The design system may include: colors; typography; components; buttons; icons; distances; networks; interactive elements; other user interface elements. 7.3.15. Iconographic system It is the creation of a set of icons for use in websites, applications, presentations or other projects. 7.3.16. Corporate identity It is a set of visual and communication elements used to represent an organization or company. 7.3.17. Company documentation Represents the creation of elements such as letterheads, signatures, company documents, presentations and other materials related to corporate identity. 7.3.18. d . media is entitled to offer visual identity services both as stand-alone services and as part of larger projects or package solutions. 7.4. Content creation services 7.4.1. Creating textual content Represents the creation of original texts for print, digital or other communication channels. 7.4.2. Copywriting It represents the creation of texts for advertising, marketing, informational or commercial purposes. 7.4.3. Content editing It represents a correction, improvement, adaptation or restructuring of existing texts. 7.4.4. Blog article It is an authored text intended for publication in a blog, website or news section. 7.4.5. Case Study It represents a structured description of a realized project, service, process or result. 7.4.6. FAQ content Represents creation of frequently asked questions and answers sections. 7.4.7. SEO content It represents creating content optimized for internet search engines. 7.4.8. GEO content Represents content creation optimized for generative search engines and AI systems. 7.4.9. AI SEO content It represents content created and structured for better processing by language models and artificial intelligence systems. 7.4.10. Content for social networks Represents the creation of texts, posts, descriptions, scripts and other materials for social platforms. 7.4.11. Product and Service Descriptions Represents the creation or editing of content for product catalogs, online stores and corporate websites. 7.4.12. d . media is not responsible for the factual accuracy of information provided by the Client and used in the creation of content. 7.5. Social network management services 7.5.1. Management of social networks Represents planning, organizing, publishing, monitoring and optimizing the presence of the Client in social networks. 7.5.2. Social media management can include: content creation; graphic design; copywriting; posting content; publication planning; communication with the audience; comment moderation; analysis of results; preparation of reports; consultations; other related activities. 7.5.3. Manage Facebook It represents the management of pages, groups, events and other assets on the Facebook platform. 7.5.4. Manage Instagram It represents the management of profiles, posts, Stories, Reels and other functionalities of the platform. 7.5.5. Manage Threads Represents the creation, publishing and management of content on the Threads platform. 7.5.6. Manage LinkedIn Represents the management of personal and corporate profiles on the LinkedIn platform. 7.5.7. Manage X Represents profile and content management on the X platform. 7.5.8. Managing TikTok Represents management of profiles and video content on the TikTok platform. 7.5.9. Manage YouTube It represents the management of channels, posts, descriptions, playlists and other content on the YouTube platform. 7.5.10. Analysis and reporting Represents the collection, processing and presentation of information for the development of profiles, campaigns and content. 7.5.11. d . media is not responsible for algorithm changes, platform restrictions, reduction of organic reach, blocking of profiles or other actions of the relevant social networks. 7.5.12. d . media does not guarantee any specific number of followers, likes, comments, views, shares or other metrics. 7.6. Advertising services 7.6.1. Advertising strategy It represents analysis, planning and structuring of advertising activities according to the Client's goals. 7.6.2. Advertising concept It is the development of an idea, message, vision or line of communication for advertising purposes. 7.6.3. Advertising visions Represents the creation of graphic materials for advertising campaigns. 7.6.4. Advertising texts Represents the creation of advertising messages, slogans, titles, descriptions and other communication elements. 7.6.5. Advertising campaigns Represents the planning, construction, management and optimization of advertising campaigns. 7.6.6. Remarketing Represents the creation and management of campaigns aimed at users who have already interacted with the brand. 7.6.7. Analysis of advertising campaigns It represents an analysis of results, indicators and effectiveness of advertising activities. 7.6.8. Advertising budgets are not included in the price of the services, unless expressly stated otherwise. 7.6.9. Advertising platform costs are paid separately from d . media's remuneration. 7.6.10. d . media does not guarantee specific results from advertising campaigns, including sales, enquiries, visits, conversions or return on investment. 7.7. Video editing and video animation services 7.7.1. Video processing Represents editing, processing, assembly and finalization of submitted video content. 7.7.2. Video montage Represents the arrangement, editing and structuring of video material into a finished video product. 7.7.3. Color corrections Represents processing and color correction of video content. 7.7.4. Sound processing Represents the processing, correction and enhancement of audio content. 7.7.5. Video for social networks Represents video content created or adapted for specific social platforms. 7.7.6. Promotional video Represents video content for advertising or marketing purposes. 7.7.7. Corporate video It is video content to introduce a company, organization, product or service. 7.7.8. Video animation Represents the creation of animated visuals and video content. 7.7.9. Logo animation Represents the animation of an existing or newly created logo. 7.7.10. Logo animation Represents the animation of an existing or newly created logo. 7.7.11. Intro Represents a short video animation to start video content. 7.7.12. Outro Represents a short video animation to end video content. 7.7.13. Motion Graphics Represents the creation of animated graphic elements for video content. 7.7.14. Duration, complexity and resources used can affect the final price and lead time. 7.7.15. d . media is not responsible for the copyright of video, audio or other materials provided by the Customer. 7.8. Web design services 7.8.1. Web design It is designing the visual appearance, structure, user experience and interface of a website, online store or digital platform. 7.8.2. Landing Page It is a one-page website created for a specific marketing, advertising or informational purpose. 7.8.3. Portfolio website It is a website for presenting an individual, specialist, creator, studio or organization. 7.8.4. Corporate website It is a website to present a company, organization, institution, product or service. 7.8.5. Online store It is a website designed to present and sell products or services via the Internet. 7.8.6. Premium digital platform It is a complex digital system, including advanced functionalities, integrations, automations and customized solutions. 7.8.7. Website redesign It is an update to the visual appearance, structure, functionality or user experience of an existing website. 7.8.8. UX design It represents designing the user experience to improve the usability and effectiveness of the digital product. 7.8.9. UI design Represents the design of the visual interface of a digital product. 7.8.10. Prototyping Represents the creation of conceptual or interactive models of a future digital product. 7.8.11. Unless otherwise agreed, web design services do not include development, implementation, hosting or technical support. 7.9. Web development services 7.9.1. Web development Represents the creation, programming, implementation, configuration, development or maintenance of websites and digital platforms. 7.9.2. Front-End Development Represents development of the user part of a website or application. 7.9.3. Back-End Development It represents the development of the server side of a website or application. 7.9.4. Development of an online store Represents the creation or development of an online sales system. 7.9.5. Website migration Represents moving a website between different systems, platforms or providers. 7.9.6. Online store migration Represents moving an online store between different systems or platforms. 7.9.7. Integration of payment systems Represents the connection of a website or online store with payment providers. 7.9.8. CRM integration It represents the connection of a digital product with a customer relationship management system. 7.9.9. Reservation system Represents the implementation of functionality for managing reservations, bookings or requests. 7.9.10. Marketing automation Represents the implementation of automated processes for marketing and communication. 7.9.11. Integration of external systems Represents the connection of a website, online store or digital platform with external services, platforms, API interfaces, cloud solutions, e-commerce systems, CRM systems, marketing automation and other technological solutions. 7.9.12 Unless otherwise agreed, domains, hosting services, external licenses, paid extensions and third party services are not included in the project price. 7.9.13. d . media is not responsible for future changes in third party systems, platforms or services. 7.10. SEO optimization services 7.10.1. SEO audit It is an analysis of the current state of a website from the point of view of Internet search engine optimization. 7.10.2. Technical SEO optimization Represents activities to improve the technical characteristics of a website. 7.10.3. On-Page SEO Represents optimization of content, structure, metadata and other internal elements. 7.10.4. Semantic optimization It represents an optimization of the content and structure with a view to better thematic coverage. 7.10.5. Schema Markup implementation It represents the implementation of structured data for better machine readability of content. 7.10.6. SEO strategy It represents the development of a long-term plan to improve the visibility of a website. 7.10.7. d . media does not guarantee specific positions in Internet search engines. 7.11. GEO optimization services 7.11.1. GEO audit It is an analysis of the readiness of a website for use by generative search engines and AI systems. 7.11.2. GEO strategy Represents planning activities to improve visibility in generative environments. 7.11.3. GEO content Represents the creation or optimization of content for generative systems. 7.11.4. Entity Optimization It represents building and optimization of connections between brands, services, persons and other objects. 7.11.5. Machine-Readable Optimization Represents content and structure optimization for better machining. 7.11.6. d . media does not guarantee inclusion in the results of specific AI systems or generative search engines. 7.12. AI SEO optimization services 7.12.1. AI SEO audit It presents an analysis of content and website readiness for use by AI systems. 7.12.2. AI Citability Optimization Represents activities to increase the likelihood that a given brand, service or content will be cited by AI systems. 7.12.3. Subscription technical support Represents the provision of ongoing maintenance for a periodic fee. 7.13.3. Advanced technical support Represents support with increased service coverage. 7.13.4. Priority technical support It represents priority service support. 7.13.5. Technical support may include: updates; surveillance; corrections; archiving; optimization; consultations; other technical activities. 7.13.6. The specific scope of technical support is determined between the parties on a project-by-project basis. 8. TECHNICAL SPECIFICATIONS OF THE SERVICES 8.1. General technical conditions 8.1.1. d . media uses professional software, hardware and work processes when performing the assigned services. 8.1.2. Unless otherwise agreed, all projects are provided in file formats considered standard for the relevant service. 8.1.3. d . media has the right to choose the technologies, software products, platforms and work processes used, when this does not conflict with the agreed parameters. 8.1.4. d . media has the right to replace the used software, technologies or services with other equivalent solutions without prior notification, when this does not negatively affect the final result. 8.1.5. Unless otherwise agreed, work files are not provided to the Client. 8.2. Technical specifications for graphic design 8.2.1. Graphic design services for print projects can be produced using professional graphics software. 8.2.2. Unless otherwise agreed, printable files are provided in formats such as: PDF; AI; EPS; SVG; TIFF; PNG; other suitable formats. 8.2.3. Unless otherwise agreed, print files are prepared in the CMYK color model. 8.2.4. Unless otherwise agreed, graphic materials for printing are prepared at a resolution suitable for professional printing. 8.2.5. d . media is not responsible for differences in color reproduction between different devices, displays, printers or printers. 8.3. Technical specifications for digital graphic materials 8.3.1. Digital graphic materials can be provided in formats such as: PNG; JPG; JPEG; WEBP; SVG; PDF; other suitable formats. 8.3.2. Unless otherwise agreed, digital graphic materials are prepared in the RGB color model. 8.3.3. Dimensions and proportions are determined according to the technical requirements of the respective platform at the time of production. 8.3.4. d . media is not responsible for future changes in the technical requirements of external platforms. 8.4. Unless otherwise agreed, the final package may include: color versions; black and white versions; monochrome versions; light background versions; dark background versions. 8.4.3. The number of files and variants provided is determined by the specific service. 8.5. Technical specifications for video content 8.5.1. Video materials can be provided in formats such as: MP4; MOV; M4V; other suitable formats. 8.5.2. The resolution is determined according to the needs of the project and the capabilities of the source materials provided. 8.5.3. Unless otherwise agreed, working design files are not provided. 8.5.4. Use of licensed audio, video or graphic resources may be subject to additional charges. 8.6. Technical specifications for web projects 8.6.1. Web projects can be developed using various technologies, programming languages, content management systems, static site generators, e-commerce platforms, and other solutions. 8.6.2. The specific technology stack is determined by d . media or by mutual agreement between the parties. 8.6.3. Unless otherwise agreed, access to servers, administrative panels, hosting services and other systems is provided after the completion of the project. 8.6.4. d . media is not responsible for problems caused by subsequent changes made by the Customer or third parties. 8.6.5. d . media is not responsible for interruptions, limitations or changes in services of external providers. 8.6.6. Unless otherwise agreed, backups are kept for a limited period after the project is completed. 8.7. Technical specifications for SEO, GEO and AI SEO services 8.7.1. SEO, GEO and AI SEO services are performed according to good practices and available technological capabilities at the time of execution. 8.7.2. d . media does not control the algorithms of internet search engines, AI systems or other external platforms. 8.7.3. d . media does not guarantee specific positions, rankings, citations or results. 8.7.4. All analyses, forecasts and recommendations represent professional judgment at the time of their preparation. 8.8. Use of third-party resources 8.8.1. If necessary, d . media may use licensed images, fonts, icons, video materials, audio resources, program libraries, external services or other resources. 8.8.2. Where the use of such resources requires the purchase of a license, the corresponding cost shall be borne by the Customer, unless otherwise agreed. 8.8.3. d . media is not responsible for subsequent changes to third party license terms. 8.8.4. The customer is obliged to comply with all license restrictions related to the used resources. 9. RIGHTS AND OBLIGATIONS OF THE PARTIES 9.1. Rights to d . media: 9.1.1. To require the Client to provide the necessary materials, information and assistance. 9.1.2. To determine the organization of the work process and the technologies used. 9.1.3. To require timely feedback from the Client. 9.1.4. To use subcontractors when necessary for the execution of the project. 9.1.5. To suspend work on a project in the event of non-fulfillment of financial obligations by the Client. 9.1.6. To refuse implementation of projects that contradict the legislation or good morals. 9.1.7. To consider the project as accepted under the conditions specified in these General Terms and Conditions. 9.1.8. To use the completed projects as part of its portfolio, unless White-label execution or other restriction is agreed. 9.1.9. To indicate his authorship on created projects, unless otherwise agreed. 9.1.10. To refuse to provide working files when this is not included in the particular service. 9.1.11. To determine the internal organization of project implementation without the need for approval from the Client. 9.1.12. To offer alternative solutions when they are in the interest of the project or the Client. 9.1.13. To require confirmation of intermediate stages when this is necessary for the implementation of the project. 9.1.14. To stop the implementation of a project in the absence of communication from the Client for a period of more than 30 calendar days. 9.1.15. To consider a project temporarily frozen in the absence of communication from the Client for a period of more than 30 calendar days. 9.1.16. To update these General Terms and Conditions, the Privacy Policy and its internal rules in accordance with current legislation. 9.2. Duties of d . media: 9.2.1. To perform the assigned work in good faith and professionally. 9.2.2. To perform the services according to the agreed parameters. 9.2.3. To use professional means and methods to perform the assigned services. 9.2.4. To store the provided information in compliance with the applicable legislation. 9.2.5. To notify the Client in the event of circumstances that may have a significant impact on the project. 9.2.6. To provide information on the status of the project upon request by the Client. 9.2.7. To eliminate identified deficiencies when they are the result of actions or inactions of d . media. 9.2.8. To maintain the confidentiality of information received in connection with the project. 9.2.9. To comply with the applicable legislation when performing the assigned services. 9.3. Customer Rights: 9.3.1. To receive the services according to the agreed parameters. 9.3.2. To receive information about the implementation of the project. 9.3.3. To make reasonable requests for corrections according to the scope of the contracted service. 9.3.4. To receive the final files and materials included in the relevant service. 9.3.5. To demand the elimination of defects when they are the result of actions or omissions of d . media. 9.3.6. To terminate contractual relations under the conditions provided for in this document or in the specific contract. 9.3.7. To receive invoices, reports and other documents when applicable. 9.4. Obligations of the Client: 9.4.1. To provide true, current and complete information. 9.4.2. To provide all necessary materials for the implementation of the project. 9.4.3. To provide the necessary assistance for the performance of the services. 9.4.4. To provide timely feedback. 9.4.5. To comply with the agreed deadlines for providing information, materials and approvals. 9.4.6. To pay the remuneration within the agreed terms. 9.4.7. To have the necessary rights to use all materials provided. 9.4.8. To indemnify d . media for claims of third parties related to materials provided by the Client. 9.4.9. Not to use the projects outside the scope of the acquired license. 9.4.10. Not to remove authorship designations when such are part of the project and White-label performance is not agreed upon. 9.4.11. To review the materials provided within a reasonable time after receiving them. 9.4.12. The lack of objection within 3 working days after providing a project, correction or final files is considered acceptance at the relevant stage. 10. TERMS, PRICES AND PAYMENTS 10.1. Deadlines 10.1.1. Implementation deadlines are determined individually for each project. 10.1.2. The terms begin to run after the provision of all necessary materials and information by the Client. 10.1.3. In case of delay on the part of the Client, the deadlines are extended by the corresponding period of delay. 10.1.4. d . media has the right to change the performance schedule in the presence of objective reasons. 10.1.5. Intermediate terms can be determined in stages depending on the development of the project. 10.1.6. Times are considered indicative unless otherwise agreed. 10.2. Prices 10.2.1. All services are provided according to the current Price List at the time of assignment. 10.2.2. Individual offers take precedence over the general Price List. 10.2.3. All prices are negotiated in Euros (€), unless otherwise agreed. 10.2.4. For informational purposes, prices may also be indicated in BGN equivalents according to the current legislation. 10.2.5. Prices do not include costs for external services, licenses, domains, hosting, advertising budgets, paid resources or other costs, unless otherwise agreed. 10.2.6. d . media has the right to update the Price List at any time, and the updates do not affect already awarded and confirmed projects. 10.3. Payments 10.3.1. Payment is made in the manner specified in the invoice, contract or offer. 10.3.2. Payment can be made by bank transfer, payment system or other agreed method. 10.3.3. d . media has the right to require advance payment. 10.3.4. Unless otherwise agreed, work on the project begins after receipt of the agreed advance payment. 10.3.5. For larger projects, the payment can be divided into stages. 10.3.6. d . media has the right to suspend work on the project in case of late payment. 10.3.7. All bank charges and payment costs are for the account of the Customer, unless otherwise agreed. 10.3.8. In case of unpaid debts, d . media has the right to refuse the provision of files, access, materials or services until they are paid in full. 11. materials, content and intellectual property 1.1. General conditions 11.1.1. d . media performs the assigned services with its own technical means, knowledge, skills, methodologies and work processes, unless otherwise agreed. 11.1.2. All concepts, proposals, sketches, variants, ideas, strategies, visual solutions, work files and other materials created in the course of work constitute the intellectual property of d . media, unless otherwise agreed. 11.1.3. Providing a project, file, design, code or other content does not automatically transfer copyright. 11.1.4. The customer acquires only the rights that are expressly agreed between the parties. 11.2. Materials provided by the Client 11.2.1. The customer is fully responsible for all materials they provide to d . media. 11.2.2. The customer declares that he has the necessary rights to use all materials provided. 11.2.3. The customer bears full responsibility for infringement of copyrights, trademarks, industrial property or other rights of third parties in connection with provided materials. 11.2.4. d . media is not obliged to carry out a legal review of the materials provided. 11.2.5. In the event of claims from third parties, the Customer is obliged to indemnify d . media for all incurred damages, costs and claims. 11.3. Materials created by d . media 11.3.1. All projects, designs, texts, strategies, concepts, structures, visual solutions, code, documentation and other materials created by d . media constitute protected objects of intellectual property. 11.3.2. Copyright arises automatically from the moment of creation of the relevant material. 11.3.3. Unless otherwise agreed, d . media reserves all proprietary and non-property rights in the materials created. 11.3.4. Unselected concepts, variants and proposals remain the exclusive property of d . media. 11.4. Licensing 11.4.1. Unless otherwise agreed, all services are provided with a non-exclusive license to use. 11.4.2. The non-exclusive license gives the Client the right to use the project for his own needs according to its purpose. 11.4.3. An exclusive license is granted only by express written agreement between the parties. 11.4.4. Full transfer of property copyrights is done only through a separate contract or annex. 11.4.5. In the absence of an express written agreement, all rights remain the property of d . media. 11.5. Restrictions on Use 11.5.1. The customer has no right to resell, assign or license the project to third parties outside of the rights granted to him. 11.5.2. The client has no right to present the project as his own work of authorship when this contradicts the acquired license. 11.5.3. The customer has no right to use the projects outside the scope of the license granted. 11.5.4. The customer may not use unused concepts, variants and proposals without express written permission. 11.6. Portfolio and public presentation 11.6.1. Unless otherwise agreed, d . media has the right to use the executed projects for: portfolio; marketing; advertising; case studies; presentations; social networks; website; competitions and professional participations. 11.6.2. This right applies to both completed and partially displayed designs. 11.6.3. Restrictions may be negotiated by separate agreement. 11.7. White-label execution 11.7.1. In case of White-label performance, d . media refuses to be publicly designated as the contractor for the specific project. 11.7.2. White-label performance does not constitute an automatic transfer of copyright. 11.7.3. White-label the performance is provided for an additional fee according to the current Price List or an individual contract. 12. liability and penalties 12.1. Responsibility of the parties 12.1.1. Each party is responsible for failure to fulfill its obligations under these General Terms and Conditions and the specific agreements between the parties. 12.1.2. Neither party shall be liable for damages caused by circumstances beyond its reasonable control. 12.2. Penalties for delay by d . media 12.2.1. In case of culpable delay in performance, d . media owes a penalty of 1% of the value of the specific service for each day overdue. 12.2.2. The total amount of the penalty cannot exceed 20% of the value of the specific service. 12.3. Penalties in case of delay on the part of the Client 12.3.1. In case of delay in payment, the Customer owes a penalty in the amount of 0.5% of the overdue amount for each day of delay. 12.3.2. The total amount of the penalty cannot exceed the amount of the remuneration due. 12.3.3. d . media has the right to suspend work on the project until the amounts due are paid in full. 12.4. Termination at Customer's fault 12.4.1. In case of rejection of a project after the start of work, the Client owes payment for all activities carried out to date. 12.4.2. When the exact amount of work performed cannot be determined, d . media has the right to calculate the remuneration based on the actual time and resources invested. 12.5. Limitation of Liability 12.5.1. d . media is not responsible for: loss of profit; lost profits; indirect damages; consequential damages; reputational damage; reduced sales; reduced attendance; loss of positions in search engines; reduced engagement in social networks. 12.5.2. d . media's maximum liability under a particular project may not exceed the value of the remuneration received under it. 12.5.3. d . media is not responsible for decisions made by the Client based on any advice, analysis or recommendations provided. 12.5.4. d . media is not responsible for the acts, omissions or technical problems of third parties. 13. LIMITATION OF LIABILITY (FORCE MAJEURE) 13.1. Force majeure 13.1.1. Force majeure is any unforeseeable, extraordinary and insurmountable event that occurred after the conclusion of the contractual relationship and regardless of the will of the parties. 13.1.2. Circumstances of force majeure can be considered: natural disasters; earthquakes; floods; fires; wars; military action; acts of terrorism; civil unrest; strikes; epidemics; pandemics; cyber attacks; mass disruptions of communication services; mass blackouts; actions of government bodies; legislative changes; other circumstances beyond the reasonable control of the parties. 13.1.3. The party affected by force majeure is obliged to notify the other party within a reasonable period of time after becoming aware of it. 13.1.4. During the effect of the force majeure circumstance, the performance of the affected obligations is suspended. 13.1.5. After the termination of the force majeure circumstance, the performance of obligations resumes. 13.1.6. d . media shall not be liable for any delay or impossibility of performance caused by force majeure. 13.1.7. d . media is not responsible for damage, loss of data or interruption of services caused by force majeure or actions of third parties. 13.2. External suppliers and services 13.2.1. d . media is not responsible for malfunctions, limitations or termination of services provided by external providers. 13.2.2. d . media is not responsible for changes in terms, policies or technical features of external platforms. 13.2.3. d . media is not responsible for the suspension, restriction or termination of accounts by external platforms. 14. TERM AND TERMINATION OF AGREEMENT 14.1. Term of the contract 14.1.1. The term of the contract is determined between the parties and is specified in the specific contract, offer or other written agreement. 14.1.2. In the absence of an explicitly defined term, the contract is considered effective until the obligations of the parties are fulfilled. 14.2. Termination of the contract 14.2.1. The contract is terminated: with its implementation; by mutual written agreement; in accordance with these General Terms and Conditions; by virtue of law; in other stipulated cases. 14.2.2. Each of the parties has the right to terminate the contract in case of material non-performance by the other party. 14.2.3. d . media has the right to unilaterally terminate the contract without notice if: providing false information; breaking the law; misuse of services; abusive, aggressive or threatening behaviour; non-fulfillment of financial obligations; other material violations. 14.2.4. The customer has the right to terminate the contract in the event of substantial culpable non-performance on the part of d . media. 14.2.5. Termination of the contract does not release the parties from obligations that arose before its termination. 14.3. Consequences of Termination 14.3.1. Upon termination, the Client owes payment for all activities performed to date. 14.3.2. d . media has the right to retain undelivered materials pending final settlement of the financial relationship. 14.3.3. After termination of the contract, all granted licenses remain in force according to the agreed terms. 15. CONFIDENTIALITY 15.1. Confidential Information 15.1.1. Any information received in connection with the performance of the services, regardless of its medium or form, is considered confidential. 15.1.2. Confidential information may include: trade secrets; business plans; marketing strategies; financial information; technical information; customer data; price conditions; internal documentation; know-how; other non-public information. 15.2. Obligations of the parties 15.2.1. The parties undertake to use the confidential information only for the purposes of fulfilling contractual relations. 15.2.2. The parties undertake not to disclose confidential information to third parties without prior consent. 15.2.3. The parties are required to take reasonable measures to protect confidential information. 15.3. Exceptions 15.3.1. It is not considered confidential information that: is publicly available; was obtained lawfully from a third party; subject to disclosure by law; was known to the recipient prior to receipt. 15.4. Term of confidentiality 15.4.1. The obligations of confidentiality remain in force even after the termination of the contractual relationship. 15.4.2. Unless otherwise agreed, the confidentiality obligations remain in force for a period of 5 years after the termination of the relationship between the parties. 16. ADDITIONAL PROVISIONS 16.1. All changes and additions to a specific project can be agreed between the parties in writing. 16.2. Individual agreements take precedence over these General Terms and Conditions regarding the specific project. 16.3. If a separate provision of these General Terms and Conditions is declared invalid, this does not affect the validity of the remaining provisions. 16.4. Section headings are used for convenience only and do not affect the interpretation of the document. 16.5. d . media's failure to exercise a right does not constitute a waiver of that right. 16.6. All notifications between the parties may be made through: e-mail; courier; postal service; electronic platforms; other written communication channels. 16.7. For unsettled cases, the current legislation of the Republic of Bulgaria is applied. 17. GOVERNING LAW AND DISPUTES 17.1. These General Terms and Conditions are regulated and interpreted according to the legislation of the Republic of Bulgaria. 17.2. All disputes between the parties shall be resolved first through negotiations and good faith attempts to reach an agreement. 17.3. In case of impossibility of voluntary settlement, the dispute shall be decided by the competent Bulgarian court. 17.4. The court at the seat or permanent address of the Contractor is competent, unless the applicable legislation provides otherwise. 17.5. These General Terms and Conditions enter into force from the date of their publication or from the date specified in a specific contract between the parties.
